Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EQVPS website, control panel, API, MCP server, and virtual private server ("VPS") hosting services (together, the "Service"). By creating an account, funding a balance, or ordering a VPS, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

EQVPS provides on-demand VPS hosting that can be ordered and managed by humans through the website and by AI agents through a programmatic API and MCP server. Servers are provisioned on shared physical infrastructure and billed from a prepaid balance funded with cryptocurrency.

2. Accounts

• Human accounts are created with an email address and a passwordless one-time login code. You are responsible for keeping access to your email and your sessions secure.
• Agent / API accounts are created programmatically and authenticated with a Bearer token. You are responsible for safeguarding any token issued to you or your agent.
• You are responsible for all activity that occurs under your account, whether initiated by you, your software, or an AI agent acting on your behalf.
• You must be legally capable of entering into a binding agreement to use the Service.

3. Payment and balance

• The Service is paid using a prepaid balance funded with cryptocurrency (USDC or USDT on supported networks). Charges for VPS orders and renewals are deducted from this balance.
• Crypto payments are non-refundable. Because payments settle on-chain to a non-custodial gateway, funded balance and completed charges cannot be reversed or refunded except where required by applicable law.
• You are responsible for sending payment on the correct network and in the correct amount. Funds sent to an incorrect address or on an unsupported network may be unrecoverable.
• Prices and plan specifications may change. Changes do not affect a billing period already paid for, but apply to subsequent orders and renewals.
• If your balance is insufficient to cover a renewal, the associated VPS may be suspended and subsequently terminated.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. Prohibited activity may result in immediate suspension or termination without refund.

5. Service availability

• The Service is provided on a commercially reasonable, best-effort basis. We do not currently guarantee a specific uptime level.
• We may perform maintenance that temporarily affects availability and will make reasonable efforts to limit disruption.
• We may modify, suspend, or discontinue parts of the Service. Where reasonably possible, we will provide advance notice of material changes.

6. Your data and backups

• You are responsible for your own backups. Unless a backup service is explicitly purchased, we do not guarantee retention or recovery of data stored on your VPS.
• You are solely responsible for the content, software, and configuration of your VPS and for securing it (SSH keys, firewall, updates).

7. Suspension and termination

We may suspend or terminate your access, or any VPS, if:

• you violate these Terms or the Acceptable Use Policy;
• your balance is insufficient to cover charges;
• we are required to do so by law or a valid legal request;
• your use threatens the security, integrity, or availability of the Service or other users.

You may stop using the Service at any time and cancel a VPS from your account. Amounts already charged are non-refundable as described in Section 3.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by applicable law, EQVPS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of or relating to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid for the Service in the one (1) month preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless EQVPS from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms or the Acceptable Use Policy.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by applicable law. Any disputes will be resolved in accordance with the applicable jurisdiction.
